1. Introduction

Welcome to CuDel Care. These Terms and Conditions govern your use of our services and website. CuDel Care operates under Cudel Delight Solutions Pvt Ltd, a company registered under the Companies Act, 2013 with registered office at B-154, Sector 63, Noida, Uttar Pradesh, India.

By accessing our website, engaging our services, or signing our service agreement, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.


2. Definitions

"Company" refers to Cudel Delight Solutions Pvt Ltd, operating under the brand name "CuDel Care".

"Client" refers to the individual or entity that engages our services.

"Services" refers to the home care services provided by the Company, including but not limited to attendant care, maid services, cooking services, and baby care.

"Helper" refers to any caregiver, attendant, maid, cook, or babysitter provided by the Company.


3. Service Agreement

3.1. The Company provides home care services through verified and trained helpers.

3.2. A subscription package must be purchased for the engagement of any helper.

3.3. The subscription fee is payable upfront through our secure payment portal.

3.4. The subscription includes three paid leaves per month for the helper.

3.5. The Company reserves the right to replace any helper at its discretion for quality control purposes.


4. Replacement Policy

4.1. Absence: The Client must notify the Company at least 3 days prior to any planned absence of the helper. The Company will supply a substitute helper at least 2 hours before the original helper's departure.

4.2. Service Quality Issues: If the helper's service is not up to mark, the Client may raise a ticket via WhatsApp/email. The Company will arrange a replacement within 3 days.

4.3. Top-up Replacements: If more than 3 replacements are required, the Client may purchase 2 extra replacements for 25% of the package fee (first 6 months) or 12.5% (months 7-12).


5. Payment Terms

5.1. All payments shall be made upfront before the commencement of services.

5.2. The Company accepts payments through debit cards, credit cards, UPI, and bank transfers.

5.3. Subscription fees are non-refundable once the service has commenced.

5.4. GST at the prevailing rate (currently 18%) will be charged on all services.

5.5. In case of cancellation before service commencement, a processing fee of 5% will be deducted from the refund amount.


6. Client Responsibilities

6.1. The Client shall provide a safe and suitable working environment for the helper.

6.2. The Client shall not engage the helper in activities not covered under the service agreement.

6.3. The Client shall respect the helper's scheduled working hours and rest periods.

6.4. The Client shall not engage in direct hiring of any helper introduced by the Company for a period of 12 months after the termination of services.


7. Limitation of Liability

7.1. The Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages.

7.2. The Company's total liability arising out of or related to these Terms shall not exceed the total amount paid by the Client for the services during the six months preceding the event giving rise to such liability.

7.3. The Client agrees to indemnify and hold harmless the Company from any claims, damages, liabilities, costs, or expenses arising from the Client's breach of these Terms.


8. Termination

8.1. Either party may terminate the service agreement with a 15-day written notice.

8.2. The Company reserves the right to terminate the service immediately without notice in case of:

a) Non-payment of dues
b) Mistreatment of the helper
c) Breach of these Terms and Conditions
d) Any illegal or unethical activities

8.3. In case of premature termination by the Client, no refund shall be provided for the remaining period.


9. Dispute Resolution

9.1. Any dispute arising out of or in connection with these Terms shall be resolved amicably through negotiation between the parties.

9.2. If the dispute remains unresolved for 30 days, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.

9.3. The arbitration proceedings shall be conducted in New Delhi, and the language of arbitration shall be English.


10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. The courts in New Delhi shall have exclusive jurisdiction over any matter arising out of or in connection with these Terms.


11. Amendments

The Company reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting on our website. The Client's continued use of our services after any changes indicates acceptance of the modified Terms.
